Terms of Service for Payelle Mobile Application

The Payelle mobile application (the “App”) is a copyrighted work belonging to Payelle, Inc. (“Company,” “Payelle,” “us,” “our,” and “we”). Certain features of the App may be subject to additional guidelines, terms, or rules, which will be posted in the App in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

These Terms of Service (these “Terms”) set forth the legally binding terms and conditions that govern your use of the App. By downloading, installing, or using the App, or by clicking the “I Agree” or similar icon, you (“you” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, located at payelle.ai, and you represent and warrant that you have the right, authority, and capacity to enter into these Terms. You may not access or use the App if you are under 18 years old. If you do not agree to the Terms, do not install or use the App.

Arbitration Notice: Section 17 of these Terms requires you to resolve disputes with Payelle through binding arbitration on an individual basis, not jury trials or class actions, and limits remedies available to you.

We reserve the right to update and modify these Terms at any time. Your continued use of the App after any updates constitutes acceptance.

1. Access to the App

1.1 License

Subject to these Terms, Payelle grants you a non-transferable, non-exclusive, revocable license to install and use the App on any mobile device you own or control. Automated inquiry devices, scraping, or reverse engineering are strictly prohibited.

1.2 Restrictions

You may not:

• sublicense, sell, rent, lease, or commercially exploit the App;

• reverse engineer, disassemble, or copy any part of the App;

• use the App to build a competitive product;

• access or attempt to access accounts or systems without authorization.

1.3 Modification

We may modify, suspend, or discontinue the App at any time without liability.

1.4 Support

We are not obligated to provide maintenance or support.

1.5 Ownership

All rights, title, and interest in the App, including trademarks, software, and intellectual property, remain with Payelle and our suppliers.

2. Accounts & Subscriptions

2.1 Account Creation

To use certain features, you must register for an account. You represent that all information is accurate and agree to update it as needed.

2.2 Subscriptions & Billing

• Registration is free, but premium features may require a paid subscription (“Subscription”).

• Subscriptions are recurring (monthly/yearly). Unless canceled, your subscription will auto-renew.

• You authorize Payelle to charge your payment method for subscription fees, taxes, and applicable transaction fees.

2.3 Refund Policy

• If you cancel within 24 hours of initial purchase, you may request a refund.

• After 24 hours, all payments are non-refundable, unless required by law.

• If Payelle terminates your account due to violation of these Terms, you are not entitled to a refund.

2.4 Account Security

You are responsible for safeguarding login credentials. Unauthorized use of your account is your responsibility.

3. Use of AI & Recommendations

• Payelle provides AI-driven recommendations suggesting which payment card may maximize rewards.

• These are suggestions only. Rewards, category definitions, and eligibility are determined by your card issuer.

• Payelle may display a timer or notification prompt for quick card selection, but the final decision is solely yours.

• Payelle does not guarantee accuracy, completeness, or outcomes of recommendations.

4. Location Services

• Payelle may access device GPS or store geolocation data to improve recommendations.

• You may disable location sharing in your device settings, but this may reduce functionality.

• By enabling location, you consent to its use as described in our Privacy Policy.

5. Data & Privacy

• Financial Data: You own your financial data. Payelle does not store or access your bank or card credentials. Connections occur via trusted third-party providers (e.g., Apple Pay, Google Pay).

• Behavioral Data: Payelle may collect anonymized usage data to improve performance.

• Data Rights: Payelle may retain anonymized, aggregated insights for analytics and product development.

• Security: We use commercially reasonable safeguards, but no system is 100% secure.

6. User Materials & Feedback

• Any content you upload to the App (“Materials”) remains yours, but you grant Payelle a worldwide, royalty-free license to use it for providing services.

• Feedback you provide becomes Payelle’s property, and we may use it without compensation.

7. Acceptable Use Policy

You agree not to use the App to:

• Violate laws or third-party rights;

• Upload malicious code or spam;

• Collect data from other users without consent;

• Interfere with or overload servers;

• Harass, defraud, or mislead users.

8. Third-Party Links & Ads

The App may contain links or ads from third parties. Payelle is not responsible for their content, policies, or services.

9. Disclaimers

• Payelle provides the App “as is” and “as available” without warranties.

• We do not guarantee uninterrupted service, accuracy of data, or reward eligibility.

• Payelle is not a financial advisor; nothing in the App constitutes financial, legal, or tax advice.

10. Indemnification

You agree to indemnify and hold Payelle harmless from claims, damages, or losses arising from:

• Your use of the App;

• Your violation of these Terms;

• Your violation of laws or third-party rights.

11. Limitation of Liability

• Payelle is not liable for indirect, incidental, or consequential damages.

• Our maximum liability for any claim is $50 or the amount paid in the past 12 months, whichever is greater.

12. Term & Termination

• You may terminate your account anytime.

• Payelle may suspend or terminate your account for violations, fraud, or inactivity.

• Termination may involve deletion of your Materials.

13. Intellectual Property & Proprietary Information

• The Payelle App, brand, logo (including frog logo), and algorithms are proprietary to Payelle.

• You may not use our trademarks without written consent.

14. Third-Party & Open Source Components

Some App features may include third-party or open-source components subject to their licenses.

15. Connection & Carrier Costs

You are responsible for device, internet, and carrier costs. Payelle is not responsible for outages or fees.

16. Mobile Platform Terms (Apple & Google)

• You must comply with Apple App Store and Google Play terms.

• Apple/Google are not liable for any claims regarding the App.

• Payelle, not Apple/Google, provides all warranties (to the extent any exist).

17. Arbitration & Dispute Resolution

• All disputes will be resolved by binding arbitration under JAMS Rules.

• Arbitration will be in Delaware, unless otherwise agreed.

• Class actions and jury trials are waived.

• Either party may bring small claims if eligible.

18. General

• Export Control: You may not export the App in violation of U.S. law.

• Electronic Communications: By using the App, you consent to electronic communications.

• Entire Agreement: These Terms are the complete agreement between you and Payelle.

• Assignment: Payelle may assign these Terms without restriction; you may not without our consent.

• Severability: If any provision is invalid, the rest remain enforceable.

• Waiver: Failure to enforce any right is not a waiver.
